Special Alert to LLC Clients

Beginning in 2004, domestic Limited Liability Companies (LLC’s) are now required to file an Annual Report (and pay a $25.00 filing fee) with the Wisconsin Department of Financial Institutions which includes the following information:

  • Name of organization and state (or country) where it was organized;
  • Address of registered office and name of registered agent at that office in WI;
  • Address of principal office;
  • Name & business address of each manager (if management vested in one or more managers);
  • If a foreign LLC, the name and address of each member; and
  • A brief description of nature of company’s business.

    Annual Reports are to be filed during the calendar quarter of the anniversary date of the LLC’s filing of its Articles of Organization. If an LLC fails to file its report, the Department of Financial Institutions may proceed with administrative dissolution by mailing notice to the registered office of the LLC. The LLC’s exclusive use of its name ceases on the date of administrative dissolution.
